Notwithstandingany other provisions of this Agreement, in circumstances where the amount of any liquidated damages payable pursuant to this Paragraph 2.11 is successfully challenged, is otherwise deemed in any judicial proceedings as constituting a penalty or cannot be enforced against the Seller for any other reason, the Parties agree that the Seller’s liability solely for the reasons which would otherwise have given rise to a payment of liquidated damages will instead be for general damages at law.
