论中国企业海外并购的成功与教训
摘要：自进入21世纪以来，伴着中国加入WTO以及改革开放的顺利进行，中国企业市场化改革的不断推进和深化，掀起了中国企业走出国门、融入世界的浪潮。在这一期间，每一家走出国门的中国企业都有着不一样的经历，有传统产业也有新兴产业、有老牌国企也有新兴民营、有成功也有失败，有利也有弊……特别是在2008年金融风暴之后，欧美一些老牌企业遭受了重大的打击，致使他们处于破产的边缘。2010年，在全球经济回暖、国内“转变经济发展方式、调整经济结构”以及政策鼓励企业海外并购等因素共同作用下，中国企业开始了新一轮的海外并购的高峰。海外并购的路程是艰辛的，本文主要以吉利集团的并购案例和最近几年的跨国并购为分析对象，就我国目前企业在海外并购中存在的问题、以及这些问题该如何避免作简要分析和研究。

In 2010, in the global economy picking up, domestic "transformation of the mode of economic development, the adjustment of economic structure" and the policy to encourage enterprise overseas acquisition under the joint action of factors such as China enterprise has started a new round of foreign acquisitions peak. Overseas acquisition is the distance of the hard, this paper mainly by giovanni cobolli gigli group of merger cases and recent years of transnational m&a for analysis object, it is our country at present the enterprise in the problems existing in the foreign acquisition, and how to avoid these problems makes a brief analysis and research.
