“Control” of a Person means (a) ownership of more than 50% of the shares in issue or other equity interests or registered capital of such Person or (b) the power to direct or influence the management or policies of such Person.
“Person” means any natural person, firm, company, government authority, joint venture, partnership, association or other entity (whether or not having separate legal personality).
“Project” means the potential issue by Provider or an Affiliate of Provider of shares, bonds, warrants or other securities.
“Provider Parties” means Provider, any or all of its Affiliates and any acquisition target or joint venture partner (whether potential or realized) of Provider or any of its Affiliates.
“Representatives”, in relation to any Person, means the directors, officers, employees, agents, consultants and Advisers of such Person and such Person’s Affiliates, and individuals seconded to work for it. Furthermore, in the case of Recipient, “Representatives” shall also include debt and equity financing sources (“Financing Sources”) and no Person shall be deemed to be a “Representative” of Recipient, and nor shall Recipient have any liability for such Person, unless such Person has been furnished with the Confidential Information hereunder.
Confidential Information
2. Recipient shall:
(a) at all times keep confidential, and shall ensure that all Representatives of Recipient keep confidential, all Confidential Information, and the Recipient is strictly prohibited from disclosing the Confidential Information to anyone other than those individuals who are Representatives of Recipient specifically engaged in the Project, provided, however, that (i) notwithstanding anything herein to the contrary, Recipient will not be liable for any breach or failure to comply with the terms of this Agreement by, or arising out of the actions of, any of its Representatives (other than its directors, officers or employees, or those of its Affiliates) if such Representative has signed an undertaking substantially to the effect of Annex A hereto, and (ii) Recipient may disclose such Confidential Information if required by law or regulation or by legal or judicial process subject to the provisions of Section 15 below;
(b) use the Confidential Information only for the purpose of evaluating and considering the Project and not use it for any other purpose whatsoever and shall not permit the Confidential Information to go out of its possession or custody and control (other than as permitted herein); and
(c) notify Provider promptly upon discovery of any unauthorised use or disclosure of Confidential Information, or any other breach of this Agreement, by Recipient, its Affiliates or Representatives, and to reasonably cooperate with Provider to help Provider regain possession of the Confidential Information.
