会计师事务所是指依法独立承担注册会计师业务的中介服务机构，是由有一定会计专业水平、经考核取得证书的会计师（如中国的注册会计师、美国的执业会计师、英国的特许会计师、日本的公认会计师等）组成的、受当事人委托承办有关审计、会计、咨询、税务等方面业务的组织。
在中国，政府发给会计师证书和会计师在社会上承办会计业务的制度，创始于中华民国时期的1918年——1928年，国民党政府规定，经会计师类科高等考试或会计师检核合格，取得会计师资格，领有政府机构发给的会计师证书的，可以充当会计师。

会计师事务所可以由注册会计师合伙设立。合伙设立的会计师事务所的债务，由合伙人按照出资比例或者协议的约定，以各自的财产承担责任。合伙人对会计师事务所的债务承担连带责任。会计师事务所符合下列条件的，可以是负有限责任的法人：
(一)不少于三十万元的注册资本；
(二)有一定数量的专职从业人员，其中至少有二名注册会计师；
(三)国务院财政部门规定的业务范围和其他条件。
