2)Entire agreement
Notwithstanding anything contained in any other agreement to the contrary ,this agreement contains the entire agreement between the parties with respect of the subject matter hereof and all proposals, negotiations and representations relating thereto are merged herein.
3)Title and Risk
All risk of loss, damage, deterioration and reduction relating to each shipment of SM shall be deemed to have passed from the seller to the Buyer when SM passes the ship’s manifold at the loading port, subject to the Seller’s right of stoppage in transit or otherwise, provided that such title shall revert to Seller upon Buyer’s Breach of any provision of this agreement without limitation the Buyer’s failure to make payment in strict compliance with this Agreement

2.整体协议
今天其他的协议中也都包换了相关条款，但此份协议囊括了所有关于双方所有相关并已合并的资料、提议、协商和展示。
3.权利与风险
在SM已经在装载港口签检货船后，与SM有关的每一批货运中的货物丢失、损坏、变质和减价都会被视为卖方已向买房发货之后所为。如果买方没能按照条款规定付款，违背了协议，这一权利，根据卖方在运输或其他方面具有的终止权，这一权利将在此时恢复于卖方。追问
